Friends of Dawstone Park


NAME: The name of the group shall be the Friends of Dawstone Park.


  1. To be a responsible body to help ensure the protection of Dawstone Park and its flora and fauna.
  2. To seek the maintenance and improvement of the facilities of Dawstone Park for the benefit of the residents of Heswall, park users and the public.
  3. To encourage and support Wirral Borough Council in improving facilities, including, but not exclusively, recreational provision, footpaths, benches, gates and fences.
  4. To work in partnership with local people in the promotion and upkeep of Dawstone Park for the benefit of the surrounding area.
  5. To help to educate the public in the use, history and other aspects relating to Dawstone Park.
  6. To accept donations, grants and subscriptions; to identify funding sources to further improve facilities and to further the aims of the Friends of Dawstone Park, whilst recognising that the ultimate responsibility for capital funding lies with Wirral Borough Council.


Membership shall be open to all people aged 18 or over who are in sympathy with the aims of Friends of Dawstone Park. Each individual member shall have the right to vote at general meetings

In addition the committee may offer a family membership to all those living at a single address, provided at least one of the persons is over 18.  A family membership will be entitled to a single vote at general meetings and any family member under 18 must be the responsibility of an adult member when working in Dawstone Park.


There shall be an annual subscription for all members aged 18 or over, the amount to be approved at an Annual General Meeting (AGM).


  1. The group shall be managed by a committee, which will be elected at the Annual General Meeting.
  2. The committee shall consist of a Chairman, Vice Chairman, Secretary, Treasurer and from four to 8 additional members.  All committee members shall relinquish office every year and shall be eligible for re-election at the Annual General Meeting, but no individual may serve more than 3 consecutive years in one post, unless no other member is eligible or nominated.
  3. All committee members shall be fully paid up members of the Group
  4. The committee may co-opt such persons as considered necessary to fill any vacancies on the committee, subject to confirmation by election at the next A.G.M. following co-option.
  5. The quorum for the committee shall be an odd number which is half the number of members on the committee (rounded down if necessary) plus one.
  6.  In the event of a tied vote the Chairman shall have a casting vote.
  7. The committee shall meet no less than 4 times per year.
  8. Special meetings of the committee may be called by no less than three members giving 14 days written notice to the rest of the Committee



  1. Accounts shall be kept by the Treasurer, subjected to annual audit and approved at the AGM.
  2. The Friends of Dawstone Park group’s financial year shall run from 1st January to 31st December.
  3. The committee shall maintain a bank account into which all monies received must be paid.  Cheques are to be signed by any 2 of the following; Chairman, Vice Chairman, Treasurer, Secretary.
  4. The Treasurer may hold a petty cash float not exceeding fifty pounds.



An Annual General Meeting will be called by the committee at least once per year by giving 28 days’ notice. The quorum for a general meeting shall be one third of the full membership present in person or by written proxy, or 10 members whichever is the lower.   Motions at the AGM will be passed if approved by a majority of those present either in person or by written proxy.  Extraordinary General Meetings (EGM) can be called by the Committee by giving 28 days written notice to the members.


This constitution can only be amended by a motion passed at a General Meeting


If dissolution of the Friends of Dawstone Park is to be proposed at a General Meeting interested parties (e.g. Wirral Borough Council, Heswall Society) shall be informed in advance of the meeting.

If following a vote by members at a General Meeting, the Friends of Dawstone Park should cease to exist, any assets remaining, after payment of outstanding expenses and liabilities shall be donated to one or more organisations with similar objectives to those of Friends of Dawstone Park as nominated by a majority of the committee.



This Constitution was adopted by those attending the inaugural meeting of the group on 1st April 2015.
